Non-disclosure Agreement (NDA)
Purpose, protection and exceptions governing the mutual exchange of confidential information.
Confidential information and purpose
Technical, commercial, financial, customer, strategic and security information is confidential where its nature or marking indicates confidentiality. The recipient uses it only for the business relationship being evaluated or performed.
Protection and access
The recipient exercises at least the same care used for its own comparable information, limits access to employees and advisers who need to know, and imposes equivalent confidentiality obligations on them.
Exceptions and required disclosure
Information lawfully made public, already held by the recipient, independently developed or lawfully obtained from an authorised third party is excluded. For legally required disclosure, the other party is notified in advance where not prohibited, and efforts are made to limit its scope.
Return, duration and rights
Upon request or the end of the relationship, records enter a return or deletion process, subject to legal retention and backup cycles. The work order specifies a protection period appropriate to the information; protection may continue while it remains a trade secret. Sharing information does not transfer a licence.
